Terms of Service

This page is the Cover Page to the Bonterms Cloud Terms (Version 1.0) (PDF), a standard cloud-services agreement maintained by the Bonterms community and licensed under CC BY 4.0. The Bonterms Cloud Terms are incorporated into this Cover Page by reference; together they are the agreement (the "Agreement") between you and The Fin AI for the hosted Books service. Capitalized terms not defined here have the meaning given in the Bonterms Cloud Terms. The Books software itself is separately available under the GNU AGPL-3.0; this Agreement covers only the hosted service.

How this Agreement is entered into. In place of signatures, this Cover Page is accepted, and the Agreement takes effect, when a person authorized to act for an organization creates that organization on the Service or accepts an invitation to it. That person represents that they have authority to bind the organization (the "Customer").

Key Terms

ProviderThe Fin AI, a Connecticut nonstock corporation organized for charitable and educational purposes (application for recognition of exemption under IRC §501(c)(3) pending with the IRS), 360 State Street, New Haven, CT 06510 ("Provider", "we").
CustomerThe organization on whose behalf an account is created ("Customer", "you").
Effective DateThe date the Customer's organization is created on the Service.
Cloud ServiceBooks — hosted bookkeeping for nonprofits: ledger and fund accounting, bank imports and connections, AI-assisted categorization and reconciliation, contributions and donation pages, reports and Form 990 worksheets, exports, and related features described at the Service's website.
Subscription TermMonth-to-month or annual, as selected in Settings, starting after a free trial; renews automatically until cancelled from the billing portal. Cancellation takes effect at the end of the current paid period. (This replaces the 12-month default in the Cloud Terms.)
FeesAs published on the Service's pricing page at the time of purchase (currently Basic $10/month or $99/year, Standard $29/month or $290/year, Bookkeeper $59/month; AI credits $10 per 1,000). Billed in advance through Stripe; non-refundable except as required by law or stated on the pricing page. Price changes take effect at the next renewal with at least 30 days' notice. Reduced or waived fees are available to organizations that cannot afford the Service — contact us.
Support PolicyEmail support at help@support.thefin.ai during US Eastern business hours; response targets depend on plan (Basic: documentation and email, best effort; Standard and Bookkeeper: within two business days). This is the Support Policy for purposes of the Cloud Terms.
Service Level AgreementNone. The Service is provided on a best-efforts basis without an availability commitment; the 99.9% default in the Cloud Terms does not apply. Planned maintenance is announced in advance where practical.
Security MeasuresPer-organization access controls with roles; TLS in transit and encryption at rest; application-level encryption of bank-connection tokens; no card numbers stored (Stripe); append-only audit log; daily backups; signed webhooks. Details: Privacy Policy and SECURITY.md in the source repository.
Data Protection AddendumNone separately; the Privacy Policy describes processing, subprocessors (Google Cloud, Plaid, Stripe, Anthropic, Resend) and retention.
Acceptable Use PolicyUse the Service only for the Customer's own books and lawful purposes; do not upload data you have no right to process, probe or disrupt the Service, or resell access. Running the open-source software yourself is always permitted.
Governing LawState of Connecticut, USA.
CourtsState and federal courts located in New Haven County, Connecticut.

Additional Terms

These Additional Terms modify the Bonterms Cloud Terms and control over them in case of conflict.

  1. Not professional advice. The Service is bookkeeping software. It is not accounting, tax, legal or audit advice, and Provider is not Customer's accountant, preparer or auditor. Customer is responsible for the accuracy of its books and filings, including any IRS Form 990.
  2. AI features. Categorization, statement reading, reconciliation suggestions, import mapping and peer comparisons are generated by machine-learning models and are suggestions only. Nothing is posted to Customer's ledger without confirmation by a Customer user. Provider does not warrant the accuracy of AI output; Section 8 (Warranties) and the liability provisions of the Cloud Terms apply to it without exception. AI usage is metered per plan as shown in Settings; purchased credits do not expire.
  3. Form 990 materials. Worksheets and XML exports assist a preparer; the Service does not transmit returns to the IRS.
  4. Donations. Card donations made on Customer's public donation page are processed under Customer's own Stripe account (or, for Provider's own organization, Provider's account) and paid directly to Customer. Provider never receives, holds or controls donated funds and is not a party to the donor relationship. Receipts issued by the Service on Customer's behalf are Customer's statements.
  5. Free trial. New organizations receive a free trial with Basic-plan limits; when it ends, AI features pause until a plan is selected while the rest of the Service keeps working. Trials are provided "as is" and may be changed or withdrawn.
  6. Customer Data and portability. Customer Data (as defined in the Cloud Terms) belongs to Customer. Customer may export it at any time (audit pack, CSV, XML) and may request deletion of its organization; Provider deletes it from live systems within 30 days and from backups within 90 days. Provider uses Customer Data only to provide the Service, including transmission to the subprocessors named in the Privacy Policy.
  7. Open source. The Books software is licensed under the GNU AGPL-3.0 and may be self-hosted; nothing in this Agreement restricts those rights. This Agreement applies only to the hosted Service.
  8. Discontinuation. If Provider discontinues the Service, it will give at least 60 days' notice and keep exports available through that period.
  9. Changes. Provider may update this Cover Page; material changes are emailed to organization administrators at least 30 days before they take effect and apply from the next renewal.
  10. Order of precedence. Additional Terms, then Key Terms, then the Bonterms Cloud Terms.
